Introduction
Welcome to Nobuon, a corporate business consulting firm based in South Africa. These Terms and Conditions ("Terms") govern your use of our services and website. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.
Services
We provide corporate business consulting services, including but not limited to strategic advice, business planning, financial consulting, and operational improvements. The specific scope of services will be outlined in a separate engagement letter or agreement.
Client Responsibilities
You agree to:
- Provide accurate and complete information necessary for us to perform our services.
- Cooperate fully with our consultants.
- Comply with all applicable laws and regulations.
Fees and Payment
Our fees are specified in the engagement letter. Payment terms are net 30 days from invoice date unless otherwise agreed. Late payments may incur interest at a rate of 2% per month. All fees are quoted in South African Rand (ZAR) and exclude VAT, which will be added where applicable.
Confidentiality
Both parties agree to maintain the confidentiality of all information disclosed during the engagement. This obligation survives termination of the services.
Intellectual Property
Any materials or deliverables provided by us remain our property until full payment is received. Upon payment, you are granted a non-exclusive, non-transferable license to use them for your internal business purposes. We retain rights to any pre-existing intellectual property.
Termination
Either party may terminate the engagement with 30 days' written notice. We may terminate immediately for non-payment or breach of these Terms. Upon termination, you must pay for all services rendered to date.
Limitation of Liability
Our liability is limited to the fees paid for the services. We are not liable for indirect, consequential, or punitive damages. Our advice is based on information provided and does not constitute legal, tax, or financial advice unless specified.
Indemnity
You agree to indemnify us against any claims arising from your misuse of our services or inaccurate information provided by you.
Governing Law
These Terms are governed by the laws of the Republic of South Africa. Any disputes will be resolved exclusively in the courts of South Africa.
Amendments
We may update these Terms at any time. Continued use of our services after changes constitutes acceptance.
